Delivery Terms & Conditions

SCOPE

These General Delivery Terms and Conditions apply to all quotations, order confirmations, sales agreements, deliveries, installations, and related services provided by Aegean Spaces, a brand operated by Good Point Inc. ("Aegean Spaces"), unless otherwise agreed in writing.

Where the customer qualifies as a consumer under applicable law, mandatory consumer protection legislation shall also apply.

 

QUOTATIONS AND OFFERS

Written quotations issued by Aegean Spaces remain valid for thirty (30) days from the date of issue unless otherwise specified.

Project schedules, installation dates, and delivery timelines are estimates and may be adjusted due to weather conditions, permit delays, site accessibility issues, supplier delays, force majeure events, or other circumstances beyond the reasonable control of Aegean Spaces.

Dimensions, visual renderings, drawings, photographs, and technical specifications provided in proposals, brochures, websites, or marketing materials are indicative and may be modified during the design, engineering, manufacturing, or installation process.

The Customer acknowledges that pergolas, terraces, walkways, decking systems, and other outdoor structures are custom-built solutions that may require adjustments during installation due to actual site conditions, including but not limited to:

  • Ground conditions

  • Existing structures

  • Property boundaries

  • Elevation differences

  • Soil stability

  • Utility locations

  • Architectural constraints

  • Local authority requirements

Natural variations in timber, stone, metal finishes, coatings, and other construction materials are normal characteristics and shall not constitute defects.

 

AGREEMENT

A binding agreement is formed when:

  • The Customer signs the purchase agreement; or

  • The Customer accepts the quotation in writing; or

  • Aegean Spaces issues an order confirmation.

Any amendments, additions, or changes to the agreed scope of work must be approved in writing by both parties.

Unless otherwise agreed, delivery and installation shall be carried out according to the project-specific agreement.

An order may only be cancelled with the written consent of Aegean Spaces. In such cases, the Customer shall reimburse all costs incurred up to the cancellation date, including design, engineering, procurement, manufacturing, transportation, and administrative expenses. Aegean Spaces may deduct such costs from any advance payments received.

 

PRICING

The agreed contract price is based on the approved design, scope of work, installation requirements, and project schedule.

Prices include applicable taxes and statutory charges in force on the contract date unless otherwise stated.

Should the Customer request modifications after contract execution, Aegean Spaces shall be entitled to adjust the contract price to reflect any resulting increase in costs. Correspondingly, any agreed reduction in scope may result in an appropriate reduction of the contract value.

Additional work requested by the Customer and not included in the original agreement shall be invoiced separately.

 

DELIVERY, INSTALLATION, OWNERSHIP AND RISK

Aegean Spaces bears responsibility for the products and materials until delivery and/or installation has been completed and accepted by the Customer.

Where transportation is arranged by Aegean Spaces, delivery is deemed completed when the products are unloaded at the agreed project site.

Where transportation is arranged by the Customer, risk transfers to the Customer once the products have been handed over to the Customer or the Customer's appointed carrier.

Following delivery or completion of installation, the Customer assumes responsibility for safeguarding the structures and materials against theft, damage, vandalism, weather exposure, or other risks beyond the control of Aegean Spaces.

Ownership of all delivered products, materials, and structures remains with Aegean Spaces until full payment of all outstanding amounts has been received.

 

CUSTOMER INSPECTION AND DEFECT NOTIFICATION

The Customer shall inspect the delivered products and completed installation promptly upon completion.

Any visible defects, deficiencies, or non-conformities must be reported to Aegean Spaces in writing within seven (7) days of discovery or from the date when they reasonably should have been discovered.

Aegean Spaces shall not be liable for defects or damage resulting from:

  • Unauthorized alterations or modifications

  • Improper use

  • Inadequate maintenance

  • Installation or work performed by third parties

  • Failure to follow maintenance instructions

  • Continued use after a known defect has been identified

  • Normal wear and tear

 

AEGEAN SPACES' LIABILITY

Aegean Spaces shall perform its obligations in accordance with the agreed contract and applicable professional standards.

Aegean Spaces shall be responsible for the work performed by its approved subcontractors as if performed by Aegean Spaces itself.

Liability for direct damages resulting from proven negligence or contractual breach shall be limited to the total contract value paid by the Customer.

To the maximum extent permitted by law, Aegean Spaces shall not be liable for:

  • Indirect damages

  • Consequential losses

  • Loss of profits

  • Loss of business opportunities

  • Loss of rental income

  • Loss of use of the property

Where mandatory consumer protection laws apply, liability shall be governed by such legislation.

Aegean Spaces shall not be liable for damage resulting from installation, repairs, alterations, or maintenance carried out by parties not approved by Aegean Spaces.

 

TERMINATION

If either party materially breaches the agreement and fails to remedy the breach within a reasonable period after written notice, the other party may terminate the agreement.

Aegean Spaces may terminate the agreement immediately if the Customer becomes insolvent, enters bankruptcy proceedings, or otherwise demonstrates an inability to fulfill payment obligations.

Upon termination, the Customer shall pay for all completed work, manufactured components, procured materials, and services performed up to the termination date.

 

WARRANTY

Unless otherwise specified in writing, Aegean Spaces provides a warranty period of twelve (12) months from the date of project completion and handover.

The warranty covers defects arising from workmanship and manufacturing defects in materials supplied by Aegean Spaces.

Where third-party products or components are incorporated into the project, any manufacturer warranties shall apply in accordance with the respective supplier's warranty terms.

 

Warranty Exclusions

The warranty does not apply to:

  • Damage caused by misuse, negligence, accidents, or improper maintenance

  • Normal weathering, aging, fading, or natural material movement

  • Natural variations in timber, stone, metal, or other construction materials

  • Unauthorized modifications or repairs

  • Structural movement of existing buildings

  • Foundation settlement beyond the scope of the project

  • Damage caused by third-party contractors

  • Cosmetic imperfections that do not affect structural integrity or functionality

Aegean Spaces shall not be liable for damage caused by extraordinary environmental conditions including:

  • Severe storms

  • Flooding

  • High winds

  • Earthquakes

  • Fire

  • Salt corrosion beyond normal exposure conditions

  • Other extreme weather events

Upon acceptance of a valid warranty claim, Aegean Spaces may, at its sole discretion:

  • Repair the defect;

  • Replace the defective component; or

  • Provide reasonable financial compensation corresponding to the reduced value caused by the defect.

 

FORCE MAJEURE

Neither party shall be liable for delays or failure to perform obligations resulting from circumstances beyond their reasonable control, including but not limited to:

  • Natural disasters

  • Extreme weather events

  • War

  • Civil unrest

  • Government restrictions

  • Strikes

  • Supply chain disruptions

  • Fires

  • Accidents

The affected party shall notify the other party as soon as reasonably possible.

 

PRIVACY AND DATA PROTECTION

The processing of personal data by Aegean Spaces and Good Point Inc. is carried out in accordance with the EU General Data Protection Regulation (GDPR) and applicable data protection legislation.
